Please read these Terms of Service ("Terms") carefully before using ServiceGuru.ai. By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree to all of the terms, you may not access the Service.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise accessing or using the ServiceGuru.ai platform (the "Service"), you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional guidelines or policies incorporated herein. These Terms constitute a binding legal agreement between you and ServiceGuru AI, LLC ("ServiceGuru," "we," "us," or "our").

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" and "your" will refer to that entity. If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Service.

You must be at least 18 years of age and capable of entering into a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2. Service Description

ServiceGuru.ai provides an AI-powered business automation platform designed for service-based businesses. Our core services include:

AI Phone Receptionist ("Sarah")

An AI-powered virtual receptionist that answers inbound phone calls on behalf of your business using natural language processing and voice synthesis technology. Sarah can greet callers, answer questions, qualify leads, and route calls based on your customized business settings.

SMS Automation & Customer Communication

Automated SMS messaging capabilities including appointment reminders, review request follow-ups, payment links, booking confirmations, and promotional messages sent to your customers on your behalf. All SMS features are subject to applicable telecommunications regulations including the Telephone Consumer Protection Act (TCPA).

Appointment Scheduling & Lead Management

Tools to capture, organize, and manage inbound leads and appointment requests. The Service facilitates scheduling coordination between your business and your customers.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. We will make reasonable efforts to notify you of significant changes in advance. We do not guarantee that any specific feature will remain available.

3. Accounts & Security

To access the Service, you must create an account and provide accurate, complete, and current information. You agree to:

We cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your account. If we detect suspicious activity on your account, we may suspend access until we can verify your identity.

You may only maintain one active account per business entity. Creating multiple accounts to circumvent usage limits or pricing is prohibited.

4. Billing & Payments

Subscription Plans

ServiceGuru.ai is offered on a subscription basis. By selecting a subscription plan, you authorize us to charge the applicable fees to your payment method on a monthly basis, in advance, beginning on the date of your initial purchase and on each subsequent monthly anniversary thereof.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at hello@serviceguru.ai. Your cancellation will take effect at the end of the current billing period. You will retain access to the Service until that date. We do not provide refunds or credits for partial months of service, unused features, or unused call/SMS credits remaining in your billing cycle at the time of cancellation.

Price Changes

We reserve the right to change subscription pricing at any time. We will provide you with at least 30 days' advance notice of any price changes by email to the address associated with your account or through a notification within the Service. Your continued use of the Service after the price change takes effect constitutes your agreement to the new pricing. If you do not agree to the new pricing, you may cancel your subscription before the new pricing takes effect.

Failed Payments

If a payment fails, we will attempt to notify you by email. If we are unable to collect payment after a reasonable number of attempts, we may suspend or terminate your account. You remain responsible for any outstanding amounts. We may use third-party payment processors to handle transactions, and your use of those services is subject to their respective terms and privacy policies.

Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes, levies, or duties imposed by taxing authorities in connection with your purchase of the Service, excluding taxes based on ServiceGuru's net income.

5. Acceptable Use

You agree to use the Service only for lawful business purposes and in compliance with all applicable federal, state, and local laws and regulations. You agree not to use the Service to:

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and we reserve the right to pursue legal remedies.

6. AI Services & TCPA/SMS Compliance

AI Phone Calls

The AI phone receptionist feature uses automated voice technology to interact with callers on your behalf. As the Service operator, you acknowledge that:

SMS Messaging — TCPA Compliance

Our SMS automation features send text messages to your customers. You acknowledge and agree that:

TCPA Notice: The Telephone Consumer Protection Act (TCPA) imposes significant penalties for violations, including up to $1,500 per willful violation. You are solely responsible for your compliance. ServiceGuru.ai provides the technology; you are the merchant of record for communications with your customers.

7. Fair Use Policy

ServiceGuru.ai operates a fair use policy for all subscription plans. The following monthly limits apply to AI-handled inbound calls:

Starter Plan: Up to 200 AI-handled calls per monthly billing cycle. Calls exceeding this limit may be queued, handled with reduced AI capability, or routed to voicemail at our discretion.

Pro Plan: Up to 500 AI-handled calls per monthly billing cycle. Same overage handling as above.

Max Plan: Unlimited AI-handled calls under normal business operations, subject to this fair use policy. "Normal business operations" means usage patterns consistent with a legitimately operating single-location service business. Automated dialing, mass call generation, resale of call capacity, or any non-standard usage patterns are prohibited and may result in account suspension regardless of plan.

We reserve the right to throttle, queue, or temporarily limit call handling for any account that generates unusual traffic patterns, regardless of plan tier. We will make reasonable efforts to notify you before implementing any such limits. Overage calls that exceed plan limits are not guaranteed to be handled and do not generate a right to a refund or credit.

SMS message volumes are subject to carrier throughput limits and our platform's messaging policies. Bulk or mass messaging campaigns are not included in any standard subscription and must be arranged separately with written approval.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

As between you and ServiceGuru, you retain ownership of all business data you input into the Service, including customer contact information, call recordings generated through your account, and business configuration settings. You grant ServiceGuru a limited, non-exclusive license to process such data solely to provide and improve the Service.

You represent and warrant that you have all necessary rights and permissions to provide us with any data you submit to the Service, including customer contact information and any personal data of third parties.

Call recordings may be stored for up to 90 days. You may request deletion of your data at any time subject to our data retention policies and legal obligations.

9. Intellectual Property

The Service, including its software, design, text, graphics, interfaces, and all content created by ServiceGuru (excluding your business data), is owned by ServiceGuru AI, LLC and is protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription period, solely for your internal business purposes.

You may not copy, modify, distribute, sell, sublicense, or create derivative works of any portion of the Service. The ServiceGuru name, logo, and product names are trademarks of ServiceGuru AI, LLC. You may not use our trademarks without our prior written consent.

If you submit feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback without restriction or compensation to you.

10. Marketplace & Contractor Relationship

ServiceGuru AI, LLC operates as a technology platform and lead-connection service only. We are not a contractor, home services provider, licensed trade professional, or employer of any service provider listed on or dispatched through our platform. This model is consistent with industry-standard marketplace platforms including Angi (formerly Angie's List), HomeAdvisor, Thumbtack, and similar services.

Independent Contractors. All service professionals, contractors, tradespeople, and vendors accessible through ServiceGuru (collectively, "Service Providers") are independent third parties, not employees, agents, or representatives of ServiceGuru AI, LLC. We do not supervise, direct, or control the work performed by any Service Provider. ServiceGuru makes no representations about the quality, safety, legality, or suitability of any work performed by a Service Provider.

No Endorsement or Guarantee. The display of a Service Provider on our platform, including any "Verified" badge or similar designation, does not constitute an endorsement, guarantee, or warranty of that provider's work quality, licensing status, insurance coverage, or fitness for any particular purpose. "Verified" status reflects only that basic profile information was submitted and reviewed at the time of onboarding — it is not a guarantee of licensure, insurance, or workmanship. You should independently verify a contractor's license and insurance before hiring.

No Liability for Contractor Work. ServiceGuru AI, LLC is not liable for: (a) any property damage, personal injury, or death arising from work performed by a Service Provider; (b) any disputes between you and a Service Provider regarding price, quality, timeliness, or scope of work; (c) a Service Provider's failure to appear, complete work, or honor any commitment; (d) any acts, omissions, negligence, or misconduct of any Service Provider; or (e) any licensing violations or unlicensed work performed by a Service Provider.

Direct Agreement. Any agreement for services is made directly between you and the Service Provider. ServiceGuru is not a party to that agreement. Any disputes regarding services must be resolved directly with the Service Provider.

AI Dispatch. Job dispatch recommendations made by Sarah AI or our automated systems are based on availability data and stated preferences only. They do not constitute a professional recommendation, referral, or endorsement. You retain full discretion to accept or decline any suggested provider.

11. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SERVICEGURU DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) any results obtained from use of the Service will be accurate or reliable; (c) the quality of any information or content obtained through the Service will meet your expectations; or (d) any errors in the Service will be corrected.

AI-generated content, including Sarah's responses during phone calls, is generated automatically and may contain errors, inaccuracies, or outdated information. We make no representations about the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SERVICEGURU AI, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO SERVICEGURU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN THEIR ENTIRETY.

You agree to indemnify, defend, and hold harmless ServiceGuru AI, LLC and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms that is not subject to arbitration under Section 14 shall be brought exclusively in the federal or state courts located in Travis County, Texas, and you irrevocably consent to the personal jurisdiction and venue of such courts.

15. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and ServiceGuru agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by binding arbitration, except that either party may bring claims in small claims court if the claims qualify.

Arbitration will be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA), which are available at www.adr.org. The arbitration will take place in Austin, Texas, or by telephone at your election. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You and ServiceGuru each waive any right to pursue any Dispute as a class action, collective action, or representative action. Disputes may only be brought in an individual capacity.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.

16. Termination

Either party may terminate these Terms and your access to the Service at any time. You may cancel your account through account settings or by contacting us. We may suspend or permanently terminate your account immediately and without prior notice if:

Upon termination, your license to use the Service ceases immediately. We may retain your data for up to 90 days after termination to allow for account recovery requests, after which it may be deleted. Sections 8 (Data), 9 (IP), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 13 (Governing Law), and 14 (Disputes) survive termination.

17. Satisfaction Policy & Marketing Statements

ServiceGuru does not warrant or guarantee the quality, timeliness, or outcome of any services performed by Service Providers. The phrase "Job Done Right," "Job Done Right," and any similar aspirational marketing statements displayed on our platform are statements of our platform's aspirational standards only and do not constitute a warranty, guarantee, or contractual promise of any specific outcome or result.

Any disputes regarding workmanship, quality, or completion of services must be resolved directly with the applicable Service Provider. ServiceGuru's role is strictly limited to facilitating the connection between homeowners and independent contractors and does not extend to supervising, guaranteeing, or warranting the work performed.

To the extent any marketing language on our platform could be interpreted as a promise or guarantee, such language is expressly disclaimed and shall not be construed as creating any legal obligation on the part of ServiceGuru AI, LLC.

19. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email to the address on file or through a prominent notice within the Service at least 14 days before the changes take effect. For non-material changes, we may update these Terms without prior notice. The "Last updated" date at the top of this page reflects when the Terms were last revised.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
